1. PREAMBLE

Welcome to Monetizelt (“the Platform,” “we,” “our,” or “us”), a digital service allowing creators (“Sellers”) to monetize and distribute ephemeral digital products, primarily videos accessible through secure and temporary links.

By accessing or using the Platform, every user (Seller or Buyer) acknowledges having read, understood, and unconditionally accepted these Terms of Use and Sale (TOS). Acceptance of these terms constitutes a legally binding agreement between you and Monetizelt.

2. PURPOSE AND DEFINITIONS

2.1 Purpose

These Terms govern the contractual relationship between Monetizelt, Sellers, and Buyers, as well as the use, sale, and purchase of digital products hosted on the Platform.

2.2 Definitions

• Seller: Any individual or legal entity publishing and selling digital content through Monetizelt.
• Buyer: Any person purchasing a digital product.
• Digital Product: Any content (e.g., video) uploaded and sold as a temporary link.
• Access Duration: The period during which the Buyer may access the purchased product.
• Account: A secure personal space on the Platform.

3. PLATFORM ACCESS AND REGISTRATION

3.1 Eligibility

Monetizelt is intended for individuals aged 18 or older. False information or fraudulent use may result in immediate account termination.

3.2 Account Creation

Sellers must provide accurate and up-to-date information (name, country, email, etc.). Business accounts must include the legal business name and registration number. Monetizelt may request verification documents.

3.3 Account Security

Sellers are solely responsible for safeguarding their login credentials and all activity under their account.

4. ROLE OF MONETIZELT

Monetizelt acts solely as a technical and commercial intermediary between Sellers and Buyers. We:

• Host and deliver Sellers’ digital products;
• Manage payments via third-party partners (e.g., PayPal);
• Provide analytics and revenue dashboards;
• Ensure transaction security and data protection.

Monetizelt is not a party to the sales contract and does not guarantee the quality, legality, or suitability of products.

5. SALES AND PURCHASE PROCESS

5.1 For Buyers

No account is required. Purchases are made using a valid email address. After successful payment, a unique, non-transferable access link is generated. Access is limited to the device used for the purchase and valid only for the displayed duration.

5.2 For Sellers

Sellers may publish content available online for up to 7 days, renewable. Sales and earnings statistics are accessible from the Seller Dashboard.

6. COMMISSIONS, PAYMENTS, WITHDRAWALS, AND TAXES

6.1 Platform Commission

After fees - Monetizelt charges a 12% commission on each sale. The remaining 88% is credited to the Seller’s balance.

6.2 Payment Fees

All payments are processed via PayPal, subject to PayPal’s standard fees (3.49% + $0.49).

6.3 Withdrawals

Withdrawals are available from $10, processed weekly on Fridays (UTC). 'Each withdrawal carries a fixed fee of $0.25' Monetizelt is not liable for losses caused by incorrect PayPal addresses or account deletion before payout.

6.4 Refund Policy

All sales of digital products are final once the access link has been issued. In case of technical failure, Monetizelt may review refund requests, without any automatic guarantee.

6.5 Taxes and Fiscal Responsibility (Initial Policy — 01/17/2026)

A. Current Position
At launch, Monetizelt does not collect, charge, or remit any taxes (sales tax, VAT, etc.) on behalf of Sellers. The Platform operates solely as an intermediary.

B. Seller Responsibility
Each Seller is solely responsible for:

• Declaring and paying any applicable taxes at the local, state, or international level;
• Obtaining any required tax identification numbers (EIN, ITIN, VAT ID, etc.);
• Complying with their jurisdiction’s revenue and reporting obligations.

C. Tax Indemnification Clause
Sellers agree to indemnify and hold Monetizelt harmless from any claims, penalties, or liabilities arising from their failure to report or pay applicable taxes.

D. Future Tax Collection Clause
Monetizelt reserves the right, if required by law or status change, to:

• Collect and remit taxes on behalf of Sellers;
• Request tax forms (W-9, W-8BEN, EIN, etc.);
• Suspend accounts failing to comply within the required timeframe.

All changes will be announced via updated Terms.

E. Seller Tax Reporting (Addendum)
Monetizelt may issue annual tax forms (e.g., IRS Form 1099-K) in compliance with U.S. tax regulations. Sellers consent to having their income data shared with relevant authorities when required by law.

As of January 2026, Monetizelt does not collect or remit any sales taxes on transactions. The products offered on the platform are primarily temporary-access digital videos, classified as ephemeral digital services.

Each seller is solely responsible for declaring and paying any taxes or income-related obligations in accordance with the laws applicable in their jurisdiction (including, but not limited to, the United States, the State of Washington, or any other country).

Monetizelt acts only as a technical intermediary between sellers and buyers and does not charge or retain any additional taxes on the displayed prices.

In the future, Monetizelt reserves the right to implement a centralized system for tax collection and remittance in order to comply with evolving international tax regulations and to simplify fiscal management for sellers worldwide.

By using the platform, you acknowledge that all current tax obligations rest solely with the seller of the product, and not with Monetizelt.

7. USER RESPONSIBILITIES

7.1 Seller Obligations

Sellers must:

• Own all rights to their uploaded content;
• Provide accurate product descriptions;
• Comply with intellectual property laws;
• Avoid publishing illegal, harmful, or fraudulent material.

Failure to comply may result in account termination without refund.

7.2 Buyer Obligations

Buyers agree to:

• Use a valid email address;
• Not share or redistribute access links;
• Not record, copy, or resell the content;
• Use products strictly for personal and lawful purposes.

8. INTELLECTUAL PROPERTY

All elements of Monetizelt (name, design, logo, source code, texts, etc.) are protected by copyright. Sellers retain ownership of their content but grant Monetizelt a non-exclusive, worldwide, temporary license to host and distribute it.

9. DATA PROTECTION

Monetizelt complies with applicable privacy laws (GDPR, CCPA, etc.). Data is hosted securely on Google Cloud Platform with encryption. No personal data is sold or shared without consent.

10. ACCOUNT SUSPENSION AND TERMINATION

Monetizelt may suspend or terminate any account for:

• Violation of these Terms;
• Fraudulent or suspicious activity;
• Violation of laws or valid reports.

Account termination does not guarantee reimbursement of balances or prior sales.

11. LIMITATION OF LIABILITY

Monetizelt shall not be liable for revenue loss, downtime, hacking, or force majeure events. Users acknowledge that they use the Platform at their own risk. The maximum liability of Monetizelt shall not exceed the total commissions collected within the preceding 12 months.

12. AMENDMENTS

Monetizelt reserves the right to modify these Terms at any time. Users will be notified of material changes. The most recent version supersedes all prior versions.

13. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the United States and specifically by the laws of the State of Washington. Any dispute shall be submitted to the courts of King County, Washington (USA), which shall have exclusive jurisdiction.

14. INDEMNIFICATION

Sellers agree to indemnify Monetizelt, its directors, employees, and partners against any claims, fines, or damages resulting from:

• Breach of these Terms;
• Violation of third-party intellectual property rights;
• Tax or legal non-compliance.

15. FORCE MAJEURE, ASSIGNMENT, AND NOTICES

Monetizelt shall not be liable for delays caused by events beyond its reasonable control. The company may assign its rights to a third party without prior notice. Notices are deemed delivered when sent to the account email or posted on the Platform.
